Welcome to Seampal. By accessing or using the Seampal platform (the "Service"), available at seampal.com, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and 94street Studio ("we," "us," or "our"), operating as Seampal. By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Current pricing is displayed on the Seampal platform and may be listed in Nigerian Naira (NGN) or US Dollars (USD). We reserve the right to modify features, introduce new plans, or change pricing at any time with reasonable notice to users.
Paid subscriptions are billed on a recurring basis (monthly or annually) according to the plan you select. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and you will retain access to paid features until that date. No pro-rated refunds are provided for partial billing periods.
We may offer trial periods for paid plans. At the end of a trial, your subscription will convert to a paid plan unless you cancel before the trial expires. If a payment fails, a grace period may apply before your account is downgraded.
To use Seampal, you must create an account by providing a valid email address and password. A one-time verification code (OTP) will be sent to your email to confirm your identity during signup. Account authentication and management are handled through Supabase, a third-party authentication and database service.

You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent that you meet this age requirement.
You retain ownership of all data and content you submit to the Service ("User Content"), including client records, measurements, order details, invoices, payment records, expense data, uploaded images, and public profile content.
By using the Service, you grant Seampal a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing and improving the Service.
Publicly accessible content: Certain features of the Service allow you to make User Content publicly accessible, including your public business profile, shared invoices, and measurement request forms. When you choose to publish or share content publicly, it can be viewed by anyone with the link. You are solely responsible for the content you make publicly available.
Data storage and third-party services:
WhatsApp messages and AI processing: If you use the Seampal WhatsApp assistant, the messages you send are processed by third-party artificial intelligence (AI) providers (such as OpenAI and models accessed via OpenRouter). Your messages are sent to these AI providers to understand your intent and carry out business actions. AI-generated responses are provided as a convenience; you are responsible for reviewing and verifying the accuracy of any information or actions taken by the assistant. Seampal does not guarantee the accuracy, completeness, or reliability of AI-generated responses.
You are solely responsible for the accuracy, quality, and legality of your User Content. You represent and warrant that you have the necessary rights and permissions to submit all User Content to the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.
The Service, including its original content, features, functionality, design, logos, and branding (excluding User Content), is and will remain the exclusive property of Seampal and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software, unless applicable laws prohibit these restrictions or you have our written permission.
The Seampal name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Seampal. You may not use such marks without our prior written permission.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
You acknowledge that Seampal is a business management tool and not a substitute for professional financial, legal, or business advice. Any business decisions you make based on data within the Service are your sole responsibility.
Payment processing is handled by third-party providers. We are not responsible for any errors, delays, or failures in payment processing caused by these third-party services. You agree to review and comply with the terms and policies of any third-party payment provider used in connection with the Service.
AI disclaimer: The AI-powered features of the Service, including the WhatsApp assistant, are provided for convenience only. AI responses may contain errors, inaccuracies, or omissions. We make no representations or warranties regarding the accuracy, reliability, or suitability of AI-generated content. You should not rely solely on AI-generated responses for critical business decisions without independent verification.
Seampal uses artificial intelligence (AI) technology to power certain features, including the WhatsApp assistant. By using AI-powered features, you acknowledge and agree to the following:
To the fullest extent permitted by applicable law, Seampal, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.
In no event shall our total liability to you for all claims arising from or related to the Service exceed the total amount you have paid us in subscription fees in the twelve (12) months preceding the event giving rise to the claim, or the equivalent of fifty US dollars (USD $50) in your billing currency, whichever is greater.
This limitation of liability applies regardless of the theory of liability, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
You may stop using the Service and close your account at any time by contacting us at hello@seampal.com.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
If you have an active paid subscription at the time of termination, your subscription will be cancelled and access to paid features will continue until the end of your current billing period. No refunds will be issued for any remaining portion of a billing period.
Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your User Content following termination. Any publicly shared content (such as your public profile or shared invoices) will also be removed. If you wish to export your data before closing your account, please contact us and we will make reasonable efforts to assist you.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or through a notice within the Service.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you should stop using the Service and close your account.
We encourage you to review these Terms periodically to stay informed of any updates.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the courts of Nigeria.
